Welcome to the Cosina Guide Registration Platform (the “Platform”). These Terms of Service constitute a legally binding agreement between you and Cosina regarding your registration, login, submission of materials, application to become a guide, and use of the Platform’s related services.
Please read and fully understand these Terms of Service carefully before registering an account, logging in, submitting materials, checking the consent box, or otherwise using the Platform. By completing registration or using the Platform, you are deemed to have read, understood, and agreed to be bound by all of these Terms of Service.
If you do not agree with any part of these Terms of Service, please immediately stop registering for or using the Platform.
1. Platform Services
- The Platform is primarily used for guide registration applications, submission of materials, identity and qualification review, guide profile management, cooperation communication, business matching, and related operational management.
- The Platform has the right to adjust its functions, service content, review standards, display rules, and cooperation mechanisms in accordance with business development, management needs, or legal and regulatory requirements.
- The services provided by the Platform do not constitute a promise that any applicant will necessarily pass the review, obtain display opportunities, receive orders, or successfully enter into cooperation.
2. Account Registration and Eligibility
- When registering for and using the Platform, you must have the civil capacity required under applicable law and the legal qualifications to engage in the relevant services or apply for cooperation.
- When registering an account, you must provide true, accurate, complete, and up-to-date information and promptly update such information when any changes occur.
- You must not register under another person’s identity, use false information, forge documents, borrow another person’s qualifications, or otherwise apply for registration or use the Platform by improper means.
- If you register for or use the Platform on behalf of a company, team, or other organization, you must ensure that you have obtained full authorization and that such entity will be bound by these Terms of Service.
3. Account Security
- You are responsible for properly safeguarding your account, password, and login credentials, and for all activities conducted through your account.
- If you discover that your account has been stolen, your password has been disclosed, or there are any other security risks, you must notify the Platform immediately.
- Any losses and liabilities arising from your improper safekeeping, improper operation, or lending, transferring, or sharing your account with others shall be borne by you.
4. Submission and Review of Guide Materials
- The personal profile, identity information, qualification documents, photographs, biography, service scope, language abilities, pricing information, and other materials you submit through the Platform must be true, accurate, complete, lawful, and free from falsity, misleading statements, exaggeration, or material omissions.
- The Platform has the right, in accordance with its own review rules, to examine, verify, request supplementation, reject, delay processing of, or refuse approval of the materials you submit.
- The Platform has the right to require you to provide supplementary identity documents, professional qualifications, work experience, service capability descriptions, or other materials related to the review.
- Approval by the Platform does not constitute a full endorsement of your qualifications, service quality, performance capability, or legal compliance, nor does it constitute a guarantee by the Platform to any third party.
- The Platform has the right, in accordance with its operational rules, to re-examine approved guide materials, adjust their display, restrict functions, suspend cooperation, or revoke qualifications.
5. Platform Display and Business Matching
- You agree that, to the extent necessary for business display, review management, client communication, cooperation matching, brand promotion, or operational marketing, the Platform may display part of the information you submit, including but not limited to your name or nickname, avatar, photos, language skills, service area, personal profile, professional experience, service features, and other suitable information for display.
- The Platform has the right to determine whether to display, how to display, and the order of display based on operational rules, user needs, matching results, service quality, regional arrangements, completeness of materials, and other relevant factors.
- The Platform does not guarantee that you will receive client inquiries, orders, cooperation opportunities, income, or any other commercial results after registration.
6. User Conduct Rules
When using the Platform, you must not engage in any of the following activities:
- Submitting false, forged, misleading, or outdated materials;
- Infringing upon the name rights, portrait rights, privacy rights, intellectual property rights, or other lawful rights and interests of others;
- Publishing, uploading, or transmitting any unlawful, non-compliant, insulting, defamatory, harassing, discriminatory, fraudulent, obscene, violent, dangerous, or otherwise improper content;
- Impersonating Platform staff, other guides, clients, or third-party entities;
- Using programs, scripts, crawlers, robots, or other automated means to illegally access, scrape, or interfere with the Platform;
- Interfering with the normal operation of the Platform, attacking its systems, circumventing Platform rules, or engaging in conduct that endangers Platform security;
- Without the Platform’s prior written consent, using the Platform’s content, data, pages, system interfaces, or business resources for competition, resale, reproduction, mirroring, or any other commercial purposes;
- Any other conduct that violates applicable laws, regulations, or these Terms of Service.
7. Intellectual Property
- The intellectual property rights in and to the Platform and its page designs, written content, graphics, logos, code, systems, databases, operational materials, and other related content shall belong to the Platform or the relevant rights holders, except for content that legally belongs to third parties or to users themselves.
- Without the Platform’s prior written permission, no person may copy, modify, disseminate, display, scrape, reverse engineer, sell, license, or otherwise use the Platform’s content in any manner.
- You warrant that any text, photos, identification materials, biographies, and other content you submit to the Platform do not infringe upon the lawful rights and interests of any third party. Any disputes, complaints, or claims arising from the content you submit shall be your sole responsibility.
8. Privacy and Personal Information Protection
- The Platform values your personal information and privacy protection and will process your personal information in accordance with applicable laws and regulations and the Privacy Policy.
- By using the Platform, you agree that the Platform may collect, use, store, share, and protect your relevant information in accordance with the published Privacy Policy.
- In the event of any inconsistency between the Privacy Policy and these Terms of Service with respect to personal information processing matters, the relevant provisions of the Privacy Policy shall prevail.
9. Third-Party Services
- The Platform may integrate third-party services or links, including but not limited to email services, SMS services, cloud storage services, identity verification services, map services, payment services, or other technical support services.
- Such third-party services are independently provided by the respective third parties. The Platform makes no guarantee as to the content, stability, accuracy, security, or service results of any third-party services.
- Any rights and obligations arising from your use of third-party services shall, in principle, be handled by you and the relevant third party, unless otherwise provided by law.
10. Fees and Cooperation
- The Platform has the right to decide, based on business arrangements, whether certain functions or services of the Platform will be charged, as well as the charging method, fee standards, effective time, and scope of application.
- If the Platform provides paid services, settlement services, commission-based cooperation, membership services, or other commercial cooperation arrangements in the future, the specific rules shall be subject to the agreements, page descriptions, or supplementary terms separately published by the Platform at that time.
- Unless otherwise expressly stated by the Platform in writing, the Platform does not automatically pay you any fees merely because you register, submit materials, or pass the review.
11. Suspension, Interruption, and Termination
Under any of the following circumstances, the Platform has the right, depending on the situation, to issue warnings, require rectification, restrict functions, suspend reviews, remove materials, freeze accounts, terminate services, or refuse further cooperation:
- You submit false materials, forged materials, or engage in fraudulent conduct;
- You violate these Terms of Service or the Platform rules;
- You create risks of illegality, complaints or disputes, service quality issues, or harm to the Platform’s reputation;
- The Platform deems it necessary to take measures for reasons of security, compliance, operational management, or legal and regulatory requirements;
- You have not logged in for a long time, have proactively applied for account cancellation, or the cooperation relationship between the parties has ended.
When the Platform takes measures pursuant to this section, it may do so without prior notice, unless otherwise required by laws and regulations.
12. Disclaimer
- The Platform is provided on an “as is” and “as available” basis. The Platform will make reasonable efforts to maintain system stability and service availability, but does not guarantee that the services will be uninterrupted, error-free, delay-free, completely secure, or fully meet your expectations.
- To the extent permitted by law, the Platform shall not be liable for any service interruption, data delay, page errors, or loss of materials caused by network failures, system maintenance, server abnormalities, hacking, communication failures, third-party service failures, force majeure, or other causes beyond the Platform’s control.
- The Platform only provides registration, review, profile management, display, and matching services. Except as otherwise provided by law, any consultations, negotiations, contract signing, service performance, disputes, losses, or liabilities arising subsequently between you and clients, partners, or third parties shall be borne by the relevant parties themselves.
- The Platform makes no guarantee regarding any application review results, business opportunities, cooperation outcomes, revenue results, or market performance.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the Platform and its affiliates, managers, employees, agents, and partners shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of goodwill, loss of data, or loss of expected benefits, arising from your use of or inability to use the Platform.
Where the law does not permit the complete exclusion or limitation of certain liabilities, the Platform’s liability shall be limited to the maximum extent permitted by law.
14. Indemnification
If, as a result of your violation of laws and regulations, these Terms of Service, Platform rules, or your submitted materials, content, or conduct infringing the lawful rights and interests of any third party, the Platform or its affiliates suffer complaints, claims, penalties, losses, expenses, or costs (including reasonable attorneys’ fees, investigation costs, and enforcement costs), you shall be responsible for indemnifying and holding the Platform harmless.
15. Amendments to the Terms
- The Platform has the right to amend these Terms of Service based on business needs, changes in laws and regulations, or operational arrangements.
- The amended terms will be published on the Platform and shall take effect from the date of publication.
- If you continue to use the Platform after the terms are updated, you will be deemed to have accepted the updated terms. If you do not agree to the amended terms, you must stop using the Platform.
16. Governing Law and Dispute Resolution
- The formation, effectiveness, interpretation, performance, and dispute resolution of these Terms of Service shall be governed by the laws of the People’s Republic of China.
- Any dispute arising out of or in connection with these Terms of Service shall first be resolved through friendly consultation between the parties. If no resolution can be reached through consultation, either party may submit the dispute to the competent people’s court with jurisdiction in Shanghai for resolution.
